1. About the Platform

Bizowl is an aggregator platform that connects startups, entrepreneurs, and business users ("Users") with:

• Verified Digital Service Partners ("Partners"), such as agencies providing marketing, design, or development services;
• Experienced Mentors who provide guidance and advisory services; and
• AI-powered tools, startup databases, and resources designed to support business growth.

Bizowl acts as a facilitator and intermediary between Users, Partners, and Mentors.

2. Definitions

• User: Any individual, startup, or organization registered to avail services, mentorship, or tools from Bizowl.
• Partner: A verified agency or service provider offering digital, technical, or creative services via Bizowl.
• Mentor: An individual offering mentorship or advisory sessions based on personal startup experience.
• Platform: The Bizowl website, mobile applications, AI tools, and related services.
• Commission: The service fee charged by Bizowl from each transaction for facilitating connections and services.

3. Platform Relationship

• Bizowl is an aggregator, not an employer or representative of any Partner or Mentor.
• All Partners and Mentors act as independent contractors.
• Users deal directly with Bizowl for payments and project submissions.
• Bizowl deals with Partners or Mentors on behalf of Users.
• Bizowl ensures that only verified and competent providers are listed but is not directly responsible for the performance, timelines, or quality of the work delivered by third parties.

4. Account Registration and Use

• All Users, Partners, and Mentors must register with accurate, complete, and verifiable information.
• Duplicate or multiple accounts for the same individual or organization are strictly prohibited.
• Bizowl reserves the right to verify, suspend, or terminate any account that provides false information or violates these Terms.
• There is no age restriction, but users must have the legal capacity to enter into binding agreements under Indian law.

5. Payments, Fees and Commissions

• All payments for services, mentorships, or tools are made directly to Bizowl.
• Bizowl issues invoices to Users and deducts its commission (approximately 20%), applicable GST, and TDS (if required) before paying the Partner.
• The commission structure is not disclosed to Users.
• Payments are transferred to Partners immediately upon receipt in Bizowl's bank account, provided the project milestone is completed or approved.
• Off-platform transactions are strictly prohibited. Any attempt to bypass the platform may result in immediate account suspension, payment hold, or permanent ban.

6. Refunds and Cancellations

Refunds are only provided under genuine circumstances, including but not limited to:

• The Partner has not initiated work.
• The service cannot be delivered due to unforeseen or technical reasons.
• A verified claim of non-delivery or misrepresentation is approved by Bizowl.

Refund requests are reviewed on a case-by-case basis and are subject to Bizowl's sole discretion.

If a User cancels a confirmed project without valid reason, no refund will be issued, and the account may be suspended.

If a Partner fails to deliver on commitments, Bizowl may hold or forfeit pending payments and ban the Partner permanently.

7. Dispute Resolution

• In the event of a disagreement between User and Partner or Mentor, both parties agree to first attempt amicable resolution through Bizowl's internal mediation team.
• Any dispute shall be resolved through conciliation, as per Section 89 of the Code of Civil Procedure, 1908.
• Legal proceedings shall be initiated only if mutual resolution fails, and such proceedings shall fall under the exclusive jurisdiction of the Courts of Delhi, India.

8. Intellectual Property Rights

• Upon full payment for a project, all intellectual property rights in the delivered work automatically transfer to the User.
• Partners and Mentors agree not to reuse, resell, or reproduce any content or deliverables created for Users.
• Any AI-generated recommendations or content (via Founders AI or other tools) are advisory in nature and not guaranteed to be accurate or exhaustive.
• Bizowl retains all rights to its platform design, content, algorithms, branding, and internal materials.

9. Reviews, Feedback and Public Content

• Users may post reviews or ratings for services received.
• Bizowl reserves the right to moderate, hide, or remove reviews that are abusive, defamatory, or false.
• All feedback provided on the platform may be used by Bizowl for marketing and service improvement purposes.

10. Non-Solicitation Clause

To maintain platform integrity:

• Users, Partners, and Mentors must not engage in direct communication, deal-making, or payments outside Bizowl for any project initiated through the platform.
• Violation of this clause will lead to immediate account suspension, forfeiture of pending funds, and possible legal action.

11. Data Protection and Communication

• All personal and business data is processed in accordance with our Privacy Policy.
• Bizowl communicates via WhatsApp, Email, and SMS for:
  • Service updates, reminders, and project status
  • Marketing and promotional communication
  • Utility and AI-driven alerts
• Users can opt out of marketing communication at any time by contacting contact@bizzowl.com.
• Bizowl may retain data of banned or suspended users for legal compliance or security purposes.

12. Platform Availability and Third-Party Services

• Bizowl is not liable for technical interruptions, including downtime, server errors, or maintenance periods.
• We may use third-party APIs, hosting services, or integrations (such as WhatsApp API, AI tools, or payment gateways).
• Bizowl is not responsible for any failure, error, or data loss caused by such third-party services.
• Users acknowledge that continued use of the platform implies consent to these dependencies.

13. Account Suspension and Termination

Bizowl may suspend or delete any account, without prior notice, for reasons including (but not limited to):

• Engaging in off-platform or fraudulent transactions
• Misuse of data or impersonation
• Abusive or unprofessional communication
• Intellectual property infringement
• Repeated delivery failures (for Partners)
• Attempting to manipulate ratings or reviews
• Violation of any clause in these Terms

Suspended users may appeal via contact@bizzowl.com. Bizowl reserves the right to review and reinstate accounts at its discretion.

14. Limitation of Liability

• Bizowl acts as a facilitator and aggregator. We are not liable for the outcome, quality, timeliness, or accuracy of any service delivered by Partners or Mentors.
• Bizowl is not responsible for losses, damages, or claims arising from:
  • Business outcomes or failed strategies
  • Miscommunication between parties
  • Third-party service issues
• Our maximum liability, under any circumstance, shall not exceed the total amount paid by the User for the specific transaction.

15. Mentorship Disclaimer

Mentorship, advisory, or strategy sessions provided through Bizowl are for educational and informational purposes only.

They do not constitute legal, financial, or professional advice. Users are responsible for implementing guidance at their own discretion.

16. Force Majeure

Bizowl shall not be held liable for any delay, failure, or interruption in service due to circumstances beyond its control, including but not limited to:

• Natural disasters, strikes, or pandemics
• Internet or power outages
• Government restrictions
• Cyber-attacks or server failures

17. Modification of Terms

• Bizowl reserves the right to amend or update these Terms at any time.
• Revised Terms will be published on this page, and continued use of the platform constitutes acceptance of those changes.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the competent courts of Delhi, India.
